1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the Resouriq Tech website and your engagement with our services. By accessing our website or engaging Resouriq Tech ("Resouriq Tech", "we", "us", or "our") for any of our services, you agree to be bound by these Terms.

If you are engaging with us on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, clients, candidates, and any other parties who interact with Resouriq Tech's website or services, including IT staffing and recruitment, Recruitment Process Outsourcing (RPO), Business Process Outsourcing (BPO), payroll management services, and software development.

2. Services

Resouriq Tech provides the following services, subject to separate engagement agreements or service contracts with each client:

• IT Domestic Recruitment: Sourcing and placement of IT professionals for organisations in India.
• US IT Recruitment: Staffing of IT professionals for clients in the United States on W2, C2C, and 1099 engagements.
• US Non-IT Recruitment: Placement of non-technical professionals for US-based organisations.
• Recruitment Process Outsourcing (RPO): End-to-end management of a client's recruitment function on an outsourced basis.
• Business Process Outsourcing (BPO): Outsourced management of non-core business functions including customer support, data entry, back office, finance, and HR operations.
• Payroll Services: Management of payroll processing, statutory compliance, and related HR administration.
• Startup Solutions: Recruitment and HR support tailored for early-stage and growing businesses.
• Software Development: Custom web, mobile, and enterprise software development services.

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate written agreement between Resouriq Tech and the client.

3. Client Obligations

Clients engaging Resouriq Tech for any service agree to the following:

• Provide accurate, complete, and timely information regarding job requirements, company details, and any other information necessary for service delivery.
• Notify Resouriq Tech promptly of any changes to requirements, hiring freezes, or decisions that affect an active engagement.
• Pay all fees and charges in accordance with the agreed payment terms set out in the service agreement.
• Not directly approach or engage candidates introduced by Resouriq Tech without Resouriq Tech's prior written consent during the term of the engagement and for a period of 12 months thereafter.
• Use candidate information shared by Resouriq Tech solely for the purpose of evaluating suitability for the specific role for which it was shared.
• Comply with all applicable employment laws, regulations, and standards in relation to any candidate placed or engaged through Resouriq Tech.

4. Candidate Obligations

Candidates who engage with Resouriq Tech for job placement or career services agree to the following:

• Provide accurate and truthful information regarding qualifications, experience, work history, and any other details submitted to Resouriq Tech.
• Inform Resouriq Tech of any changes to availability, employment status, or other circumstances that may affect a current placement process.
• Attend confirmed interviews and assessments on time, and provide reasonable advance notice if cancellation is necessary.
• Not misrepresent qualifications, certifications, or experience to Resouriq Tech, its clients, or during the hiring process.
• Notify Resouriq Tech promptly if an offer is accepted or declined, or if employment is accepted elsewhere while a placement process is active.

Resouriq Tech's placement services are provided to candidates at no charge. Resouriq Tech does not charge candidates fees for job referral, placement assistance, or resume submission.

5. Fees and Payment

Fees for Resouriq Tech's services are agreed upon in writing between Resouriq Tech and the client prior to the commencement of any engagement. Unless otherwise specified in the service agreement:

• Invoices are payable within the number of days stated in the service agreement from the date of issue.
• Late payments may attract interest or suspension of services as specified in the engagement terms.
• All fees are exclusive of applicable taxes (including GST, TDS, or other statutory deductions) unless expressly stated otherwise.
• Refund or replacement policies, where applicable, are governed by the terms set out in the individual service agreement.

6. Confidentiality

Both parties agree to keep confidential all non-public information received from the other in connection with the services, including but not limited to business strategies, pricing, candidate details, client names, and internal processes.

Confidential information shall not be disclosed to any third party without prior written consent, except where required by law or court order. This confidentiality obligation survives the termination of any service engagement.

7. Intellectual Property

All content on the Resouriq Tech website — including text, graphics, logos, icons, images, and software — is the property of Resouriq Tech or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written permission. For software development engagements, intellectual property rights in delivered work are governed by the terms of the individual project agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Resouriq Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption.

Resouriq Tech's total liability to any client or candidate for any claim arising out of or related to our services shall not exceed the total fees paid by the client to Resouriq Tech in the three months preceding the event giving rise to the claim.

Resouriq Tech does not guarantee the suitability, performance, or conduct of any candidate placed with a client. Hiring decisions remain the sole responsibility of the client organisation.

9. Indemnification

You agree to indemnify, defend, and hold harmless Resouriq Tech, its directors, employees, and affiliates from and against any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your breach of these Terms or any applicable law or regulation
• Inaccurate or misleading information provided to Resouriq Tech
• Your use of candidate or client information in a manner not authorised by these Terms
• Any claim by a third party related to your actions in connection with Resouriq Tech's services

10. Website Use

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the website to transmit any harmful, offensive, or unauthorised content
• Attempt to gain unauthorised access to any part of the website or its systems
• Use automated tools to scrape, crawl, or extract data from the website without permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Resouriq Tech reserves the right to restrict or terminate access to the website at any time without notice if these conditions are violated.

11. Third-Party Links

Our website may contain links to third-party websites, including those of our group companies. These links are provided for convenience only. Resouriq Tech does not endorse, control, or accept responsibility for the content, privacy practices, or availability of any linked sites. Your use of any third-party website is at your own risk and subject to that site's own terms and conditions.

12. Termination

Either party may terminate a service engagement in accordance with the notice provisions set out in the relevant service agreement. Resouriq Tech reserves the right to suspend or terminate services immediately if a client or candidate breaches these Terms or the applicable service agreement, or if payment obligations are not met.

Upon termination, all outstanding fees remain payable, and any confidentiality obligations that survive termination will continue to apply.

13. Governing Law and Disputes

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of India. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

For US-based clients and engagements, the applicable jurisdiction and governing law may be specified separately in the individual service agreement.

14. Changes to These Terms

Resouriq Tech reserves the right to update or modify these Terms at any time. We will update the "Last Updated" date at the top of this page when changes are made. Continued use of our website or services after any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
